1. No purchase is necessary. Contest game period is May 1, 2008 through June 30, 2008. Contest is open to legal U.S residents ages 21 and older

2. Officers, directors and employees of Money Matters Financial Network, GGFS, and their respective subsidiaries, affiliates, agencies and immediate family members and/or persons living in the same household are ineligible.

3. How To Enter: Entries are available online beginning 12:01 AM 4/01/08 (ET). There are three ways to enter:

a. ONLINE: Visit http://www.mmfn.net or http://www.financialtalkshow.com and completely fill out the entry form. (This web site is best viewed with Netscape 4.0 or higher and Microsoft Internet Explorer 4.0 or higher.) Online players must have Internet access at the time the Investment Challenge contest is announced. If a dispute arises regarding who entered the Contest online, the entrant will be deemed to be the natural holder of the email account from which the entry was sent; or

b. MAIL: Mail completed entry to: Investment Challenge c/o Money Matters Financial Network, 75 Montebello Road, Suffern, NY 10901; or

c. FAX: Fax completed entry form to 845-368-2932 to the attention of INVESTMENT CHALLENGE

4. All entries (online, mail, fax and drop-off entries) must be received by 11:59 PM (ET) on April 30, 2008. Only one entry, per person is allowed. Only fully completed entry forms will be accepted. Submission of entry along with opt-in authorization to all methods of contact constitutes permission to be included in Money Matters Financial Network's database and to be contacted by Money Matters Financial Network. All entries become the exclusive property of Money Matters Financial Network and will not be returned. 5. Money Matters Financial Network and their respective subsidiaries, affiliates, agencies, employees, officers, and directors are not responsible for lost, late, misdirected, incomplete, erroneous, defective, or inaccurate entries, for failed, incomplete, garbled or delayed computer transmissions, online failures, hardware, software, or for any other technical malfunctions, disturbances, communications failures, or circumstances affecting receipt of entries or entrants' ability to participate in Contest.

6. How To Play: From the Investment Challenge contest list of thirty (30) stocks, select five (5) different stocks for your Contest "portfolio," and enter the stock symbol and company name for each stock on the entry form. Changes can be made to your portfolio only until the 11:59pm on 4/30/08, before the contest starts on 5/01/08. All stocks will be weighed equally. Contestants' portfolios will be tracked for the period from May 1, 2008 through June 30, 2008.

Each eligible entrant's Contest "portfolio" will be calculated using the official close-of-the-market prices on 5/1/08 (the "official Starting Prices") and the official close-of-the-market prices on 6/30/08 (the "official Closing Prices").

The entrant whose Contest "portfolio" receives the highest rate of return over the course of the Contest will receive the first place prize. The entrant whose Contest "portfolio" receives the second highest rate of return over the course of the Contest will receive the second place prize, and the entrant whose Contest "portfolio" receives the third highest rate of return over the course of the Contest will receive the third place prize. Award of prizes subject to fulfillment of the requirements of Paragraph 16 herein.

Entries include two Tiebreaker questions: 1. What will the Dow Jones Industrial Average Index be at the official close of trading on 6/30/08 and 2. What will the NASDAQ be at the official close of trading on 6/30/08 In the event of a tie, the answers to Tiebreaker Question #1 will be used to determine the winner. The contestant who comes closest without going over will be declared the winner. In the event there is still a tie after Tiebreaker Question #1 has been applied, then Tiebreaker Question #2 will be used, and the contestant who comes the closest without going over will be declared the winner. In the event a tie still exists after Tiebreaker Questions #1 and #2 have been applied, then the prize will be split equally among the tied entries.

7. Preferred stocks, PERCs, warrants, mutual funds (including closed end mutual funds), options, trusts, hybrids, or other derivatives of stocks are ineligible. Short selling is not allowed.

8. Dividends, either cash or stock, will not be counted toward portfolio value, even if stocks go ex-dividend during the Investment Challenge contest period.

9. Trading during the Investment Challenge contest is not permitted.

10. Stock prices used to determine official ranking in the Investment Challenge contest are obtained from an independent commercial database and may be different from published stock prices.

11. In the event a company's stock is delisted during the game as the result of a merger or acquisition, it shall be considered the equivalent of a sale and the sale price shall be the final price for that security in the game and will be used to compute the contestant's final standing. In the case of a merger in which the shareholders of the merged company either keep their original stock or receive, on a one-for-one basis a security of equal value, that company shall be considered the surviving company even though its name and ticker symbol are different. If a company is de-listed due to liquidation or cessation of business activity the final transaction on the listing exchange will be considered the final price in the game.

12. The Investment Challenge contest will not take into consideration stock dividends or stock splits, but rather stock price only.

13. Prizes: The first place winner will receive a check for $3000.00, the second place winner will receive a check for $1000.00 and the third place winner will receive a check for $500.00. Only one prize is allowed per household. Prizes are non-transferable.

14. Odds of winning depend on the number of eligible entries received, the skill of the contestants and the performance of individual stocks listed on the DJIA (Dow Jones Industrial Average).

15. Money Matters Financial Network management's decisions on all matters of the Investment Challenge contest are final and binding.

16. Winner notification and acceptance: Winners will be notified by phone, mail, and/or email by 7/17/08. Winners must supply proof of residency (e.g., valid Driver's License or recent PSE & G bill) or proof of employment at address provided on entry form (e.g., employee ID, letter on company letterhead from personnel department). Winners must also sign an Affidavit of Eligibility/Liability & Publicity Release ("Affidavit") prior to receiving a prize and complete a W-9 tax form (prizes over $600.00). Prizes will be mailed out within 30 days of notification. If a winner fails to complete and return the Affidavit by 10/06/08 5PM (ET), or if prize notification is returned as undeliverable, that entry will be void and the eligible contestant with the next most profitable portfolio will be selected. Prize winners may be required to pick-up their prizes at Money Matters Financial Network, 75 Montebello Road, Suffern, NY 10901.

17. For a list of all prize winners, send an email to info@mmfn.net., and include Investment Challenge in the title or mail your request to Money Matters Financial Network at 75 Montebello Road, Suffern, NY 10901 ATTN: Marketing Department. Requests must be received by 7/31/08. Winners will be posted online at http://www.mmfn.net or http://www.financialtalkshow.com.

18. Entry constitutes agreement to hold Money Matters Financial Network, GGFS, and their respective parents, subsidiaries, affiliates, and the officers, directors, employees, owners, and agents of each of the foregoing entities, harmless from and against any and all damages, liability, losses, and expenses arising out of this Investment Challenge contest or acceptance or use of the prize(s).

19. Money Matters Financial Network reserves the right to terminate, modify, or otherwise change this Investment Challenge contest, at its sole discretion, should it determine that its fairness has been compromised.

20. False or deceptive behavior, or tampering with any contest web sites will render contestant ineligible, and Money Matters Financial Network reserves the right to seek damages from any such entrant to the fullest extent permitted by law. Taxes and/or fees are the sole responsibility of the winners.

21. Subject to all federal, state and local laws and regulations. Void where prohibited.

22. Entry constitutes agreement to be bound by all of the foregoing rules and terms, and also constitutes permission to use the winners' names and likeness for advertising and promotional purposes (in print, online, and in any media), without additional compensation, except where prohibited by law. Money Matters Financial Network reserves the right to share contestant information with other contest sponsors.

23. The top 50 portfolios will be posted every weekday online beginning 5/2/08.
